Confidential Information. All information not generally known to the public, in spoken, printed, electronic, or any other form or medium, relating directly or indirectly to business processes, practices, methods, policies, plans, publications, documents, research, operations, services, strategies, techniques, agreements, contracts, terms of agreements, transactions, potential transactions, negotiations, pending negotiations, know-how, trade secrets, computer programs, computer software, applications, operating systems,... software design, web design, work-in-process, databases, manuals, records, articles, systems, material, sources of material, supplier information, vendor information, financial information, results, accounting information, accounting records, legal information, marketing information, advertising information, pricing information, credit information, design information, payroll information, staffing information, personnel information, employee lists, supplier lists, vendor lists, developments, reports, internal controls, security procedures, graphics, drawings, sketches, market studies, sales information, revenue, costs, formulae, notes, communications, algorithms, product plans, designs, styles, models, ideas, audiovisual programs, inventions, unpublished patent applications, original works of authorship, discoveries, experimental processes, experimental results, specifications, customer information, customer lists, client information, and client lists of Company or Bank or any Affiliate of Company or Bank, or relating to their respective businesses, or of any other person that has entrusted information to Company or Bank or any Affiliate of Company or Bank in confidence. The foregoing list is not exhaustive, and the term Confidential Information shall also include other information that is marked or otherwise identified as confidential or proprietary or that would otherwise appear to a reasonable person to be confidential or proprietary in the context and under the circumstances in which the information is known or used. The term Confidential Information shall include information developed by Employee in the course of Employee's employment by Employer as if Employer furnished the same Confidential Information to Employee in the first instance. Confidential Information. Data and information including, but not limited to, all confidential information of the Company and its Affiliates, regardless of the form or medium in which it was created, stored, reflected or preserved, and includes, but is not limited to, Trade Secrets. Confidential Information. Shall mean any and all information of the Company that is not generally known by those with whom the Company competes or does business, or with whom the Company plans to compete or do business, including without limitation (i) information related to the Products, technical data, methods, processes, know-how and inventions of the Company, (ii) the development, research, testing, marketing and financial activities and strategic plans of the Company, (iii) the manner in which they operate, (iv)... their costs and sources of supply, (v) the identity and special needs of the customers of the Company, and (vi) the persons and entities with whom the Company have business relationships and the nature and substance of those relationships. Confidential Information. Means (i) any proprietary or confidential matters concerning any member of the Group, including the business, products, markets, condition (financial or other), operations, processes, intellectual property, customers, vendors, pricing, results of operations, cash flows, prospects and affairs of any member of the Group, and (ii) any information, including the terms, conditions or any other facts, relating to this Agreement and any other agreements or transactions contemplated by this Agreement,... or any confidential discussions or negotiations related to this Agreement, in each case, that are not disclosed in a publicly filed document; provided, that, "Confidential Information" shall not include information (A) that is or becomes available to the public or within the industry of a member of the Group, other than as a result of disclosure by the Executive in violation of the Executive's obligations under this Agreement, (B) that becomes available to the Executive on a non-confidential basis from a source other than the Company or its Affiliates, provided that such source is not known by the Executive to be bound by a legal, fiduciary or contractual obligation of confidentiality or secrecy with respect to such information, or (C) that is or was independently developed by the Executive without use of or reliance on Confidential Information. Confidential Information. Confidential Information. Means any and all information of the Company and its Affiliates that is not generally known by the public, and any and all information, whether or not publicly known in whole or in part, which, if disclosed to any Persons, would assist such Persons in competing with the Company or any of its Affiliates or Affiliated Physician Practices. Confidential Information includes, without limitation, such information relating to (i) the development, research, testing, manufacturing, marketing and... financial activities of the Company and its Affiliates, (ii) the Products and Services, (iii) the costs, sources of supply, financial performance and strategic plans of the Company and its Affiliates and Affiliated Physician Practices, (iv) the identity and special needs of the customers of the Company and its Affiliates and Affiliated Physician Practices (v) the people and organizations with whom the Company and its Affiliates and Affiliated Physician Practices have business relationships and the nature and substance of those relationships, and (vi) any other information concerning the business and affairs of the Company and/or its Affiliates or Affiliated Physician Practices that is not generally available to the public or does not become generally available to the public other than as a result of breach of this Agreement, including confidential techniques, know-how, financial information, copyrights, patents, trademarks, trade names, slogans, logos, designs, service marks, computer software programs, databases (including all subscriber and potential subscriber databases), magnetic media, systems and programs, trade secrets, business lists, customer lists, client lists, supplier lists, proposed location sites, employee personnel files, engineering data, logs, consultants' reports, budgets, ratings, forecasts, format strategy, financial reports and projections, tapes and electronic data processing files, accounting journals and ledgers, accounts receivable records and sales operating, marketing, and business plans. Confidential Information. Confidential Information. Confidential Information. All confidential information of the Company, whether or not reduced to written or recorded form, that is related to the Company and that is not generally known or accessible to members of the public and/or competitors of the Company and not intended for general dissemination, including, without limitation, information about the Company's operations, processes, procedures, trade secrets, finances, business plans, costs, pricing, sales, customer lists, the needs and demands of customers, and... vendor lists. Executive will not, directly or indirectly, disclose, furnish or make available, except in the course of performing Executive's duties for and on behalf of the Company (if any), any Confidential Information (regardless of how Executive learned of it or who developed it), without the Company's prior written approval; provided, however that Executive may disclose Confidential Information (i) to Executive's attorneys, accountants, consultants and other professionals to the extent necessary to obtain their services, (ii) as may be reasonably necessary 6 in connection with Executive's enforcement of Executive's rights in connection with this Agreement or the Purchase Agreement, and (iii) as may otherwise be required by law or legal, judicial and regulatory process, provided that Executive takes reasonable steps to minimize the extent of any required disclosures described in this clause.
