Consultant

Consultant. Shall mean any person, including an advisor, who is engaged by the Company, Opco or any of their respective Affiliates to render services to the Company, Opco or any of their respective direct or indirect Subsidiaries and is compensated for such services, and any non- employee Director whether compensated for such services or not.

Consultant. Shall mean any person who is engaged by the Company or any Parent or Subsidiary to render consulting services and is compensated for such consulting services, including compensation through Options granted under this Plan; provided that the term Consultant shall not include Directors who are not compensated for their services or are paid only a director's fee by the Company.

Means an individual, other than an Employee or a Director, providing bona fide services to the Company or any of its Affiliates as a consultant or advisor, as applicable, provided that such individual is a natural person and that such services are not in connection with the offer or sale of securities in a capital-raising transaction and do not directly or indirectly promote or maintain a market for any securities of the Company.
