Covered Employee

Covered Employee. A Participant who is, or is determined by the Committee to be likely to become, a "covered employee" within the meaning of Section 162(m) of the Code (or any successor provision) and who is identified in writing by the Committee as a Covered Employee within the period specified in Section 11(a) for the fiscal year

Covered Employee. Has the same meaning as set forth in Section 162(m) of the Code, and successor provisions.

Covered Employee. Shall mean a Participant who, as of the date of vesting and/or payout of an Award, as applicable, is one of the group of "covered employees," as defined in Code Section 162(m), or any successor statute and the regulations promulgated thereunder.

Covered Employee. A person designated by the Committee as likely, with respect to a given fiscal year of the Company, to be a 'covered employee,' as defined in Code Section 162(m)(3) and Internal Revenue Service Notice 2007-49, or in any subsequent guidance or pronouncement of the Department of the Treasury or Internal Revenue Service that defines or interprets the term 'covered employee' for purposes of Code Section 162(m)(3), for that year (or a later year in which an Award may be settled). Covered Employee. Has the same meaning given to such term in Section 162(m)(3) of the Code; provided, however, that a person will be considered a Covered Employee for purposes of this Plan only if such employee's Applicable Employee Remuneration for the relevant Fiscal Year is expected to exceed $1,000,000. No person shall be considered a Covered Employee during the applicable reliance period under Treasury Regulation 1.162-27(f).

Covered Employee. All Participants whose compensation in the Performance Period for which the Award is calculated is or, in the Compensation Committee's discretion, may be subject to the compensation expense deduction limitations set forth in Section 162(m) of the Code

Covered Employee. Any Employee who is or may be a 'covered employee,' as defined in Code Section 162(m)

Covered Employee. An officer or key employee of Foot Locker who is designated as an executive officer for purposes of Rule 3b-7 of the Securities Exchange Act of 1934 for the relevant Plan Year.
