Dividend Equivalent

Dividend Equivalent. Means a right that entitles the RECIPIENT to receive cash or COMMON STOCK based on the dividends declared on the COMMON STOCK covered by such right.

Dividend Equivalent. For a given dividend or distribution means a number of shares (or fractions of a share) of Common Stock having a Value, as of the date such Dividend Equivalent is credited to a Stock Unit Account, equal to the amount of cash, plus the fair market value on the date of distribution of any property, that is distributed with respect to one share of Common Stock pursuant to such dividend or distribution; such fair market value to be determined by the Committee in good faith.

Dividend Equivalent. Means the right to receive, on a current or deferred basis, and subject to such conditions as may be imposed by the Board of Directors, cash payments from the Corporation equal to the amount which would have been received had a person owned a specified number of shares of Common Stock.

Dividend Equivalent. Means a right granted with respect to an Award, as provided in Section 25 of the Plan.

Dividend Equivalent. Means a credit, payable in cash or Shares, made at the discretion of the Administrator or as otherwise provided in the Plan, to the account of a Participant in an amount equal to the cash dividends paid on one Share for each Share represented by an Award held by such Participant. Dividend Equivalent. Shall mean the amount of cash dividends or other cash distributions paid by the Company on that number of shares of Common Stock equal to the number of Stock Units credited to a Participant's Stock Unit Account as of the applicable record date for the dividend or other distribution, which amount shall be credited in the form of additional Stock Units to the Participant's Stock Unit Account, as provided in Section 4.2.

Dividend Equivalent. The additional amount of Common Stock issued in connection with an Option, as described in Section 14.

Dividend Equivalent. Means credits arising in respect of dividends paid on Shares, as described in Section 6 herein.

Dividend Equivalent. Means credits in respect of each Performance Share or other Stock Unit representing an amount equal to the dividends or distributions declared and paid on a share of Common Stock.

Dividend Equivalent. Means a right granted to a Participant to receive cash or Common Stock equal in value to dividends paid with respect to a specified number of shares of Common Stock underlying an Award.
