Dividend Equivalent

Dividend Equivalent. Means a credit, payable in cash, made at the discretion of the Administrator, to the account of a Participant in an amount equal to the cash dividends paid on one Share for each Share represented by an Award held by such Participant. The Dividend Equivalent for each Share subject to an Award shall only be paid to a Participant on the vesting date for such Share.

Dividend Equivalent. Credits arising in respect of dividends paid on shares of common stock of the Company, $0.01 par value ("Shares"), as described in Section 6 herein.

Dividend Equivalent. Shall mean the additional right, when earned, of an Optionee to receive for each Dividend Equivalent an amount equal to the actual dividend declared per share of Common Stock with such amount to be credited to Optionee as of the dividend payment date.

Dividend Equivalent. Shall mean the additional right of the Optionee to receive for each Dividend Equivalent an amount equal to the actual dividend declared per share of Common Stock while such right is outstanding with such amount to be credited to the Optionee as of the dividend payment date.

Dividend Equivalent. Means a credit to the account of a Participant, based on the number of Deferred Stock Units subject to this Agreement, equivalent to the cash, stock or other property dividends on shares of Common Stock. Dividend Equivalent credits shall be deemed reinvested in additional shares of Deferred Stock Units (or fractions thereof) and shall be added to the number of Deferred Stock Units subject to this Agreement.

Dividend Equivalent. Means a credit to the account of an Executive, based on the number of Deferred Stock Units then credited to the Executive under this Agreement, equivalent to the cash, stock or other property dividends on shares of Common Stock. Dividend Equivalent credits shall be deemed reinvested in additional shares of Deferred Stock Units (or fractions thereof) by dividing the dollar amount of the Dividend Equivalent credit by the Fair Market Value of a share of the Company's common stock on the payment... date of the dividend. Dividend Equivalent. A right to receive the equivalent value (in cash or Shares) of dividends paid on Shares, awarded under Section 12(b) hereof.

Dividend Equivalent. A right to receive the equivalent value (in cash or Common Stock) of dividends paid on Common Stock, awarded under Section 9(c) of the Plan
