Effective Date

Effective Date. Shall mean the date on which the Registration Statement relating to the Shares issued on the First Closing Date is first declared effective by the SEC.

Effective Date. Means the 90th day following the Closing Date.

Effective Date. With respect to a Change of Control for purposes of this Agreement shall be the earliest to occur of (A) the date on which the Company receives a copy of a Schedule 13D disclosing beneficial ownership of shares in accordance with Section 17(d)(i) above; (B) the closing date of a sale or disposition of assets by Hibernia Corporation or the Bank in accordance with Section 17(d)(ii) above; (C) the effective date of the consummation of a merger, consolidation, share exchange or similar form of... corporate transaction in accordance with Section 17(d)(iii); (D) the date of the shareholder approval in accordance with Section 17(d)(iv); or (E) the date of the annual or special meeting of shareholders at which the last director necessary to meet the requirements of Section 17(d)(v) above is elected. Upon the occurrence of the Effective Date of a Change of Control, the Board of Directors or its designee shall, within thirty days thereof, provide written notice to Executive of the Effective Date of the Change of Control. Notwithstanding anything to the contrary in this Agreement, if a Change of Control occurs and if Executive's employment with the Company is terminated within the ninety days prior to the Effective Date of the Change of Control as determined in accordance with the first sentence of this subpart, and if it is reasonably demonstrated by Executive that such termination of employment (i) was at the request of a third party who has taken steps reasonably calculated to effect a Change of Control, or (ii) otherwise arose in connection with or in anticipation of a Change of Control, then for all purposes of this Agreement, the "Effective Date" of the Change of Control shall mean the date immediately prior to the date of such termination of employment.
