Eligible Employee

Eligible Employee. An employee of a Company Entity who is designated by such Company Entity as employed at compensation band E75 or greater; provided, however, that any such employee who is party to an agreement with a Company Entity that (i) provides for severance benefits separate from and in the absence of this Plan and (ii) does not state that such employee will participate in this Plan, shall not be an Eligible Employee during the term of such agreement.

Eligible Employee. Means an individual employed by a member of the Company Group in the United States and paid through a United States payroll who is either (i) employed in one or more of the following positions: (A) an Executive Vice President, (B) a Senior Vice President reporting directly to the Chief Executive Officer of the Company, (C) a Vice President reporting to the Senior Vice President of the OSP Operating Segment, or (D) the most senior executive (regardless of position title) responsible for any of... the following functions of the Company Group: Human Resources, Information Technology and Legal Services; or (ii) designated in writing by the Chief Executive Officer as being an Eligible Employee, subject to subsequent review and ratification by the Compensation Committee of the Board at its discretion. Eligible Employee. Shall mean any person who is employed by a Participating Company as an employee. Notwithstanding the foregoing, the Plan Administrator may determine, in advance of any Offering Period, that the following group(s) of otherwise Eligible Employees shall be ineligible to participate in the Plan: (i) Employees whose customary employment is twenty (20) hours of service or less per week (or such lesser number of hours as may be specified by the Plan Administrator); (ii) Employees who have been... employed less than six (6) months (or such lesser period of employment as may be specified by the Plan Administrator); (iii) Employees whose customary employment is five (5) or fewer months in any calendar year (or such lesser period of customary employment as may be specified by the Plan Administrator); and/or (iv) Employees who are "officers" within the meaning of Rule 16a-1(f) under the Securities Exchange Act of 1934 as may be specified by the Plan Administrator. Eligible Employee. Any individual who is treated as an active employee in the records of the Company or any Designated Subsidiary, regardless of any subsequent reclassification by the Company or by any Designated Subsidiary, any governmental agency, or any court, provided, however, in all cases, only as of the first day of the month following the start of service as an active employee of the Company or Designated Subsidiary. Eligible Employee. An Employee (a) who is an A1, A, or B1 band Employee, or such other band as designated by the Plan Administrator, and has Eligible Compensation for the applicable Plan Year, or (b) who is otherwise designated as an Eligible Employee for purposes of the Plan by the Plan Administrator. Participation in the Plan is limited to a select group of the Company's key management or highly compensated employees.
