Eligible Employee

Eligible Employee. Any Cash Balance Participant whose title with the Company is either (i) Chief Executive Officer, or (ii) Vice President.

Eligible Employee. Means each employee of the Company who (1) is actively employed as of the Effective Date, (2) is a participant in the Company's Amended and Restated Supplemental Executive Retirement Plan, and (3) who receives a written notification from the 1 Company designating the employee as an Eligible Employee for purposes of the Plan and identifying the Retention Bonus amount that the employee is eligible to receive.

Eligible Employee. Any employee of the Company or an Affiliate.

Eligible Employee. An Employee whose employment with their Employer is terminated due to a Qualifying Termination; provided, however, that, notwithstanding the foregoing: (1) the term "Eligible Employee" shall not include: (i) any Employee who is eligible to receive, in connection with the same Qualifying Termination, severance or similar type payments under the provisions of any other severance pay plan of, or any agreement (including but not limited to any employment or severance agreement) with the Employer or... an Affiliate; (ii) a "specific professional" or part time Employee, of an Employer or any other Employee who is not a regular, full-time Employee (as determined by the Employer in accordance with employment policies and practices established by such Employer); (iii) any Employee who is not, as of the date immediately prior to his or her termination of employment, being paid on the Employer's U.S.A. payroll; (iv) any individual performing services for an Employer who is treated by such Employer as a leased worker or an independent contractor; or (v) an Employee who is a member of a collective bargaining unit with which an Employer negotiates and with respect to whom no coverage under this Plan has been provided by a collective bargaining agreement; and (2) the employment of an Employee shall not be considered to have been "involuntarily terminated" (and therefore will not be deemed to have a Qualifying Termination) in any of the following circumstances: (i) an Employee whose employment with an Employer is terminated by reason of a transfer to the employ of another Employer or an Affiliate; (ii) an Employee whose employment with an Employer is terminated by reason of a transfer to the employ of another entity into which the Employer is merged or otherwise consolidated; provided such entity adopts this Plan; (iii) an Employee whose employment is terminated upon the expiration of a leave of absence by reason of his or her failure to return to work at such time; (iv) an Employee whose employment with an Employer is terminated in connection with the sale of stock or the sale by such Employer of all or part of its assets if (A) such Employer determines in its sole discretion that either (1) in connection with such sale such Employee was offered employment for a comparable position at a comparable salary, annual bonus opportunity and employee benefits with the purchaser of the Employer's stock or assets or (2) such Employee voluntarily elected not to participate in the selection process for such employment and (B) the purchaser of the Employer's stock or assets adopts this Plan; or (v) an Employee whose employment is terminated due to death, Total Disability or voluntary termination View More

Eligible Employee. A key managerial, administrative or professional employee of the Company or an Affiliate whose position is evaluated at salary grade 40 or higher or who is in a position to make a material contribution to the continued profitable growth and long term success of the Company or an Affiliate.

Eligible Employee. Means any full-time or part-time employee (including an officer or director who is also an employee) of the Company or an Affiliate. Eligible Employee. Shall mean an Employee who fulfills the requirements of Part 4, Schedule 5 of ITEPA.

Eligible Employee. Any employee of an Employer whose role is in the 'Executive Band' or higher, 'Grade 15' or above, or any comparable role or position (including any similar role or position if an Employer does not use the foregoing designations), all as determined by the Plan Administrator, in its sole discretion, other than any employee who is a nonresident alien (within the meaning of section 7701(b)(1)(B) of the Code) or is a resident of Puerto Rico. Eligible Employee. Unless determined otherwise by the Company in its discretion, an Employee who (a) is an associate at or above Level 50 as determined by the Company and (b) has Eligible Compensation for the applicable Plan Year. Participation in the Plan is limited to a select group of the Company's key management or highly compensated employees.

Eligible Employee. Any officer or other employee of the Company or of any Affiliate, or any individual that the Company or an Affiliate has engaged to become an officer or employee.
