Employee

Employee. Means any person employed by the Company or an affiliate of a majority owned subsidiary of the Company or of the Company's parent. Mere service as a Manager or payment of a manager's fee by the Company shall not be sufficient to constitute "employment" by the Company.

Employee. Any person, including Officers and Directors, who is a common law employee of the Company, a Parent, or a Subsidiary. For Options or SARs granted to U.S. taxpayers, Employee means any person, including Officers and Directors, who is a common law employee of the Company or any Related Entity. Neither service as a Director nor payment of a director's fee by the Company will be sufficient to constitute 'employment' by the Company
