Employment

Employment. Except as otherwise required by Section 409A of the Code, employment with the Company or any Affiliate or Subsidiary, and shall include the provision of services as an Outside Director or Consultant for the Company or any Affiliate or Subsidiary. A Participant's Employment shall terminate on the date the Participant is no longer employed by an entity that is at least one of (i) the Company, (ii) an Affiliate or (iii) a Subsidiary as of such date. "Employed" shall have a correlative meaning.

Employment. Means, unless otherwise determined by the Administrator, the Participant's employment with the Company or its Affiliates. Unless otherwise determined by the Administrator, the Participant's Employment will terminate at such time as the Participant ceases to be an employee of the Company or its Affiliates.

For purposes of this Award Agreement, Employment shall also include any period of time during which the Grantee is on temporarily disability status. The length of any period of Employment shall be determined by the member of the Company Group that either (i) employs the Grantee or (ii) employed the Grantee immediately prior to the Grantee's termination of Employment

For the purposes of this Agreement, the term "Employment Period" shall mean the period commencing as of the Effective Date and ending in accordance with Section 5 (the "Employment Period"). The Company shall continue to employ Executive, and Executive hereby accepts continued employment with the Company, upon the terms and conditions set forth in this Agreement for the Employment Period.
