Exercise Price. (a) if this Warrant is exercised as part of the consummation of the IPO as provided in Section 9(a), the exercise price of a Share will be seventy percent (70%) of the price at which one share of Common Stock is sold to the public in the IPO; and (b) if this Warrant is exercised as part of the consummation of an Acquisition as provided in Section 9(b), the exercise price of a Share will be seventy percent (70%) of the value of one share of Common Stock sold or valued in the Acquisition.
