Holder

Holder. Means CVC, Alonzo, and, subject to Section 10(f), any assignee or transferee of a Registrable Security initially held by CVC or Alonzo, which assignee or transferee expressly is granted rights as a Holder under this Agreement by CVC and/or Alonzo at the time of such transfer.

Holder. Means the beneficial owner of Registrable Securities. For all purposes of this Agreement, the Company shall be permitted to treat the record owner of Registrable Securities as the beneficial owner thereof unless the Company has been given written notice of the existence and identity of a different beneficial owner.

Holder. Shall mean each Purchaser or any of such Holder's respective ------ successors and assigns who acquire rights in accordance with this Agreement with respect to the Registrable Securities directly or indirectly from such Holder, including any Permitted Assignee of such Holder.

Holder. Means a person holding a Stock Option.

Holder. Means an employee of the Company or a Subsidiary who has received an Award under this Restated 1991 Plan.

Holder. Means any holder of Securities from time to time.

Holder. Each record owner of any Registrable Shares from time to time, other than RWE.

Holder. Means a Non-Employee Director who has received an Award of Options or Restricted Stock under this Plan.

Holder. Holder of Notes

Holder. OR "HOLDERS" means the holder or holders, as the case may be, from time to time of Registrable Securities, which persons are the original holders and issuees of the Registrable Securities.
