Initial Public Offering. Shall mean the initial public offering of the Company's Common Stock pursuant to a registration statement under the Securities Act of 1933, as amended.
Initial Public Offering. Means the sale of shares of Common Stock in an underwritten initial public offering registered under the Securities Act (other than on Form S-8 or Form S-4 or any comparable forms) that has been filed under the Securities Act and declared effective by the Securities and Exchange Commission or any similar agency then having jurisdiction to enforce the Securities Act, other than a sale of Common Stock issued together with preferred stock or indebtedness of the Company or any of its Subsidiaries.
Initial Public Offering. Means the effective date of a registration statement (on Form S-1 or its successor) for the Common Stock.

The closing of a firmly underwritten public offering of shares of Common Stock by the Company at a per share price not less than $9.85 per share (as adjusted for stock dividends, splits, combinations, etc.) and for a total offering of not less than thirty million dollars ($30,000,000), after deduction of underwriters commissions and expenses.
