Involuntary Termination

Involuntary Termination. Means the involuntary termination of the Participant's employment by the Company or any Affiliate or Subsidiary other than for Cause, death or Disability.

Involuntary Termination. The occurrence of one of the following: (i) termination by the Company of Executive's employment with the Company for any reason other than Cause at any time; (ii) Executive's resignation from employment for Good Reason within six months following the occurrence of the event constituting Good Reason.

Involuntary Termination. The occurrence of either of the following events: (i) termination by the Company Group of the Eligible Employee's employment for any reason other than Cause; or (ii) the Eligible Employee's termination of employment with the Company Group for Good Reason, provided that such termination occurs within ninety (90) days following the initial occurrence of the condition constituting Good Reason; provided, however, that Involuntary Termination shall not include any termination of the Eligible... Involuntary Termination. Termination of the Employee's employment, without the Employee's consent, by the Company for any reason other than Cause.

Involuntary Termination. A termination of the Executive's employment with the Company and its Affiliates (a) by the Company or an Affiliate other than for Cause, death or Disability, or (b) upon the Executive's resignation of employment for Good Reason.

Involuntary Termination. The occurrence of either of the following events during a Change in Control Period: (i) termination by the Company of Employee's employment without Cause; or (ii) Employee's Constructive Termination. "Involuntary Termination" shall not include any termination of Employee's employment that is (1) for Cause, (2) a result of Employee's death or Disability, or (3) a result of Employee's voluntary resignation.

Involuntary Termination. Means the termination of Participant as a Service Provider by reason of: (i) Participant's involuntary dismissal or discharge by the Company, or by the acquiring or successor entity (or Parent or any Subsidiary thereof for which Participant is a Service Provider) for reasons other than Cause; or (ii) Participant's voluntary resignation for Good Reason.

Involuntary Termination. For all purposes under this Agreement, 'Involuntary Termination' shall mean either (i) the Company terminates Executive's Employment with the Company for a reason other than death, Cause or Permanent Disability and a Separation occurs, or (ii) Executive resigns his Employment for Good Reason and a Separation occurs.

Involuntary Termination. A Separation resulting from either (a) your involuntary discharge by the Company for reasons other than Cause or (b) your voluntary resignation for Good Reason.
