IPO. The initial public offering of Stock, as contemplated in the Company's prospectus, dated October 24, 2007

An initial public offering of the Common Stock under the Securities Act pursuant to the filing of a Form S-1 with the SEC (a) that generates gross proceeds to the Corporation (including any amounts payable to the underwriters or for any other costs and expenses related to the IPO) of at least $50,000,000 prior to the exercise by the underwriters in such offering of any over-allotment option, and (b) whereby Common Stock is sold for a price that is reasonably satisfactory to Purchasers
