Knowhow

Knowhow. Means technical information, trade secrets and know-how, whether or not patentable or copyrightable, Controlled by a Party which is necessary or useful for the performance of tasks under the Development Plan.

Knowhow. OMITTED HEREIN AND REPLACED WITH AN ASTERISK [***], HAS BEEN FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION.] development, formulation, Manufacturing, packaging, use, testing or Regulatory Approval of the Product, including (but not limited to), trade secrets, designs, research and development, results, methods, techniques, derivations, processes, formulations, dosage forms, concepts, ideas, preclinical, clinical, biological, chemical, pharmacological, toxicological, pharmaceutical or other data, validation information, adverse effects or experiences, plans, stability history, testing methods, experimental methods, specifications, assays, in vitro data, in vivo data, material and Product supplier information, test methods for raw materials, components, work-in-process and finished product, stability test methods, descriptions, expert opinions and analyses, ideas, depictions, discoveries, modifications, improvements and extensions, medical support information (including data bases), and market studies; (iii) all clinical and other studies performed with respect to the Product and the results of any other Product testing conducted, including all related clinical files, data and analyses; (iv) all correspondence to and from the FDA, minutes of meetings with the FDA, and all memoranda, notes, information, filings and documentation relating to obtaining FDA or other Regulatory Approval for the Product; and (v) all other written, printed or electronically stored information and tangible materials, including combinations, summaries and compilations of the foregoing, related to the development, Manufacturing, testing, import, export, use, marketing, sale, distribution or Regulatory Approval of the Product. Knowhow. Shall mean any and all techniques, processes and apparatus for designing and/or making Instruments and/or Sensors, including but not limited to the Model 3000 system.

Knowhow. Means all unpatented proprietary and/or confidential know- how, trade secrets, information, data and materials, in whatever form, including, but not limited to, the following: specifications, calculations, formulae engineering and technical data, blueprints, diagrams, charts, results, computer programs, designs, skills, methods, techniques, procedures, manufacturing data and marketing or sales information.

Knowhow. Shall mean designs, plans, specifications, methods, systems, clinical data, processes, compositions, techniques and other technical information or documentation, whether patentable or not, that is solely owned by Alliance, or which Alliance has the right to control the use of through a license or otherwise, relating to the Licensed Product.

Knowhow. Shall mean and include all information, techniques, methods, formulas or sources concerning or relating to: (1) applications of the Technology to the Field or (2) any of the Commercial Products hereunder, including without limitation, their composition, formulation, ingredients, production, sources of supply or packaging thereof.

Knowhow. Shall mean any and all technical data, information, materials, trade secrets, technology, formulas, processes, and ideas, including any improvements thereto, in any form in which the foregoing may exist, now owned or co-owned by or exclusively, semi-exclusively or non-exclusively licensed to any party prior to the date of this letter agreement or hereafter acquired by any party during the term of this agreement.

Knowhow. Shall mean any and all technical information, test and development data, formulations, processes, ideas, protocols, regulatory files and the like, which is non-patentable and discovered or developed pursuant to the Research.

Knowhow. Shall mean any and all technical data, information, material and other know-how, if any, currently owned, developed or acquired by BMS that (i) arise from the Residual Program, or (ii) are necessary or useful to practice the Patents.

Knowhow. Means all trade secret or other information that is not generally known or biological materials, including, without limitation, cells, cell lines, genes, gene fragments, gene sequences, probes, DNA, RNA, cDNA libraries, proteins, peptides, polypeptides, plasmids, vectors, expression systems, organisms, biological substances, and any constituents, progeny or replications thereof or therefrom, reagents, chemical compounds, inventions,... improvements, practices, formula, trade secrets, techniques, methods, procedures, knowledge, know-how, skill, experience, results, test data (including, without limitation, pharmacological, toxicological, animal model and clinical test data), analytical and quality control data and any marketing, pricing, distribution, cost, sales, manufacturing, patent or data descriptions, whether or not patentable, that are owned or Controlled by Corixa and that are related to the Licensed Products and the monoclonal antibody-producing hybridoma cell line clones identified in Exhibit B.
