Knowhow. Knowhow. Knowhow. Means all (i) information and data possessed by Licensor, exclusive of any of the independent claims contained in the Licensor Patents (but including all other information and data contained in, or related to, any patent application filed by or on behalf of Licensor), relating to the exploitation and/or use of the Licensed Products (as defined below), including without limitation: (a) sources of materials; (b) methods, processes and procedures (and ... related test results and design data) for the extraction, isolation, creation, purification, and/or chemical modification of materials used in the production of the Licensed Products; (c) methods, processes and procedures used in the design, development, creation, modification, manufacture, production, processing, storage, packaging, testing and/or evaluation of the Licensed Products, including without limitation all biological and toxicological tests (and results thereof) together with all correspondence, notes, memoranda, and other information and/or data provided to, or received from, all health regulatory authorities; and (ii) trade secrets, data, formulae, compositions, processes, designs, sketches, photographs, graphs, drawings, samples, program proposals, presentations, inventions and ideas, past, current, and planned research and development, current and planned manufacturing or distribution methods and processes, market studies, business plans, computer software and programs, systems, structures and architectures (and related processes, formulae, composition, improvements, devices, inventions, discoveries, concepts, ideas, designs, methods and information), and any other information, however documented, that is not generally known to the public or that constitutes a trade secret under any applicable trade secret law. Knowhow. Shall mean all technology, formulas, trade secrets, proprietary methods, technical data, materials and other information owned, invented, developed or acquired by Licensee that relate to the manufacture, marketing, and/or sale of the Licensed Products.

Knowhow. Means any and all confidential and proprietary information that is owned or controlled by DPAC as of the Effective Date and during the term of this Agreement, that is necessary or useful for the development, manufacture, use, sale, or offer for sale of the Products and the Technology, including, but not limited to, trade secrets, know-how, techniques, methods, test data and results and designs.

Knowhow. Means any proprietary technology, information, methods of use, processes, techniques, ideas or inventions (other than the Patents) owned, possessed or used by Abbott as of the Effective Date which is directly related to or directly used in connection with Compound A or Compound B or the manufacture of Compound A, Compound B and/or Product, including all trade secrets and any other technical information relating to development, use or sale of Compound A, Compound B and/or Product, provided that... Knowhow. Shall mean all Information that has not been published or made publicly available relating to the Acquired Assets that is necessary to discover, make, use, and sell small molecule drugs, or that relates to the Compound Libraries, that is not included in the Patents and that the Company uses or holds for use in connection with its phosphodiesterase program.

Knowhow. Knowhow. Means all ideas, trade secrets, know-how, concepts, methods, processes, software, formulae, reports, data, including pre-clinical and clinical data, regulatory files, customer lists, supplier lists, mailing lists, business plans or other proprietary information or materials.
