Knowledge

Knowledge. Means with1 respect to any statement made to the Company's knowledge, that statement is based upon the actual knowledge of the Company's Chief Executive Officer and the Company's Vice President, General Counsel and Secretary.

Knowledge. Or "know" shall mean, when referring to the knowledge of Seller, the knowledge of Joe Calabro, Karl Wagner, Thomas Hawkins, John Rizzo and William Slimak after reasonable inquiry of the appropriate employees of the Companies.
