Example Definitions of "Knowledge"
Knowledge. The actual knowledge of any director, officer, member or employee of the applicable Person, and the Knowledge such individuals would reasonably be expected to obtain in the course of diligently performing his or her duties for such Person and/or making a reasonable inquiry into the matters contemplated by this Agreement.
Knowledge. The knowledge of such Person, assuming that such Person engaged in reasonable inquiry or investigation with respect to the relative subject matter.
