Knowledge

Knowledge. Or "Know" means, with respect to Seller, the knowledge of any director or officer of Seller, or all of them, as the case may be, as well as matters that any director or officer of Seller, or all of them, as the case may be, should have known, after due inquiry.

Knowledge. Means actual knowledge after due inquiry.

Knowledge. Means with respect to the Seller the actual knowledge of Richard L. Shaw, H. James McKnight, Craig O. Stuver, Edward L. Wiley, Glen Murphy, Gary Billions, and Robert Unger.

Knowledge. Means, with respect to Buyer or Chameleon, the actual knowledge of any officer or director of Buyer or Chameleon, as applicable.

Knowledge. With respect to the Sellers shall mean, without independent investigation, the actual knowledge of any of Michael Mathis, Robert Goldstein and Harry Miltenberger.

Knowledge. Means, with respect to the Seller, actual knowledge of the following representatives of the Seller and SM&P after reasonable inquiry or investigation: Bill J. Bates, Penelope S. Conway, Sherry H. Gavito, Craig A. Harrell, Ryan Hyman, Erick R. Johnson, Debra J. Lehmann, James A. Muhl, Dennis C. Norman, Timothy M. Seelig and Jon Winters.

Knowledge. Means actual knowledge after diligent investigation or knowledge a prudent person could be expected to discover or otherwise become aware of in the course of conducting a reasonably comprehensive investigation of such matter. When used in relation of IFS, "Knowledge" means actual knowledge after diligent investigation of Michael Dunham and Michael Hallen or knowledge that Mr. Dunham or Mr. Hallen could be expected to have discovered or otherwise become aware of in the course of conducting a... reasonably comprehensive investigation of such matter. Knowledge. Means actual knowledge after reasonable investigation. A Person will be deemed to have "Knowledge" of a particular fact or other matter if any individual who is serving, or has at any time served, as a director, officer, partner, or executor of such Person (or in any similar capacity) has, or at any time had, Knowledge of such fact of other matter.
