Knowledge

Knowledge. With respect to a Seller means the Seller's actual knowledge, and with respect to the Company means the actual knowledge of Frank L. Davis after inquiry of the executive officers of the Company and the employee or employees having responsibility for the applicable subject matter.

Knowledge. As to each of the Parent and the Company, means the actual knowledge of such entity's executive officers after reasonable investigation.

Knowledge. Means actual knowledge of an entity's directors or officers or, in the case of the SMPG Controlling Stockholder, the actual knowledge of that individual.

Knowledge. (or and variation thereof), when referring to any Person, means the actual knowledge of such Person after due inquiry.

Knowledge. Shall mean the actual knowledge of the Chief Executive Officer and the Financial Officer of the Company.

Knowledge. Shall mean, when used in reference to (i) any party to this Agreement that is an entity, the actual knowledge, after reasonable inquiry, of the directors, officers and key employees of such party (including Mr. Russo in the case of SoftVision), and (ii) any party to this Agreement that is an individual, the actual knowledge of such individual, after reasonable inquiry.

Knowledge. Means the actual knowledge of a director, officer or other employee, provided that such persons shall have made due and diligent inquiry of those individuals whom such director, officer or other employee reasonably believe would have actual knowledge of the matters represented.

Knowledge. The actual knowledge of the Principal Persons of the referenced party or any knowledge which should have been obtained by any of the Principal Persons of such party upon reasonable investigation and inquiry.

Knowledge. Knowledge. Including the phrase "to the knowledge of Debtor", shall mean the actual knowledge after reasonable investigation.
