Major Investor

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 1,000,000 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof).

Major Investor. Means any Investor that, together with such Investor's Affiliates, holds at least 4,000,000 Conversion Shares (appropriately adjusted for any stock split, dividend, combination or other recapitalization effected after the date hereof).

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 2,000,000 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof) and each Person to whom any of the right of any such Investor are assigned pursuant to Section 6.1 of this Agreement.

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 750,000 shares of Registrable Securities (subject to appropriate adjustment in the event of any stock dividend, stock split, combination or other similar recapitalization).

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 146,628 shares of Series A Preferred Stock.

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least two percent (2%) of the capital stock of the Company on a fully-diluted basis and Prism.

Major Investor. Means (i) any Investor that, individually or together with such Investor's Affiliates, holds at least 30% of the shares of Series A Preferred Stock originally acquired by such Investor pursuant to the Series A Purchase Agreement; provided, however, that "Major Investor", as applied to GS Fund VI and its Affiliates, shall refer only to GS Fund VI for the purposes of Section 3 hereof; (ii) any Investor that, individually or together with such Investor's Affiliates, holds at least 30% of the... shares of the Series B Preferred Stock originally acquired by such Investor pursuant to the Series B Purchase Agreement; (iii) Mason Holland, individually or together with his Affiliates, for so long as he continues to hold at least 30% of the Common Stock held by him immediately after the closing of the transactions contemplated by the Series B Purchase Agreement, including the consummation of the redemption by the Company of Common Stock using proceeds of the sale of the Series B Preferred Stock (collectively, the "Closing"), and (iv) Shawn Jenkins, individually or together with his Affiliates, for so long as he continues to hold at least 30% of the Common Stock held by him immediately after the Closing. Major Investor. Means (i) any Investor that, individually or together with such Investor's Affiliates, holds at least twenty percent (20%) of the Series A Preferred Stock, Series B Preferred Stock or Series C Preferred Stock originally purchased by such Investor and (ii) any transferee of shares of Series A Preferred, Series B Preferred Stock and/or Series C Preferred Stock of any Investor, as the case may be, if such transferee is an Affiliate of such Investor and such transferee, individually or together... with its Affiliates, holds at least twenty percent (20%) of the Series A Preferred Stock, Series B Preferred Stock and/or Series C Preferred Stock, as the case may be, originally purchased by such Investor. Major Investor. Means, subject to Section 3(b), for so long as they continue to hold Company Securities and are not a Defaulting Investor, each of Pine Brook and GS. The special rights of Pine Brook and GS in their capacity as Major Investors are personal to Pine Brook and GS and are non-transferable.

Major Investor. Means (i) any Investor that, individually or together with such Investor's Affiliates, holds at least 1,500,000 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization effected after the date hereof), and (ii) W Capital Partners II, L.P. or its Affiliates (collectively, "W Capital").
