Major Investor

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least ten percent (10%) of the Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof).

Major Investor. Means any of North Bridge or PIC, individually or together with such Investor's Affiliates, so long as such Investor holds at least 75,000 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof).

Major Investor. An Investor holding, together with its Affiliates, at least 1,000,000 shares (as adjusted for stock splits, stock dividends, reverse stock splits and the like) of Preferred Stock

Major Investor. Means each of MVM International Life Sciences Fund No. 1 Limited Partnership ("MVM"), Alta Biopharma Partners III Limited Partnership, Ascent Biomedical Ventures I, L.P., Ascent Biomedical Ventures I NY, L.P, Devon Park Bioventures, L.P. and Rho Ventures VI, L.P.; provided that any Major Investor holding any shares of Common Stock issued upon conversion of Preferred Stock in connection with a Special Mandatory Conversion (as defined in the Prior Certificate) shall no longer be deemed a Major... Major Investor. Any Investor who holds at least 1,000,000 Preferred Shares (as adjusted for stock splits, stock dividends, combinations, subdivisions, recapitalizations and similar events); for purposes of this definition, shares held by Affiliates of an Investor shall be aggregated for purposes of determining whether any Investor is a 'Major Investor' under this Agreement.

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds Series Four Senior Preferred Stock and/or Series Five Junior Preferred Stock, in the aggregate, convertible into at least 3,696 shares of Common Stock (as such number is adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof).

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 1,500,000 shares shares (or, in the case of Fidelity, at least 4,689,766 shares) of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof).

Major Investor. Means any holder of at least 5.0% of the Registrable Securities then outstanding.

Major Investor. Means (i) any Investor that, individually or together with such Investor's Affiliates, holds at least 2,500,000 shares of Preferred Stock, (ii) each Wellington Investor that holds any shares of capital stock of the Company and (iii) any transferee of Preferred Stock transferred by a Major Investor if such transferee is an Affiliate of such Major Investor and such transferee, individually or together with its Affiliates, holds at least 2,500,000 shares of Preferred Stock (in each of clauses (i)... and (iii), as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof).
