Example Definitions of "Major Investor"
Major Investor. An Investor that holds not less than five percent (5%) of the outstanding shares of the Preferred (or an equivalent amount of Common Stock issued upon conversion of the Preferred).
Major Investor. Means any Investor that, along with its Affiliates, has purchased at the Closing hereunder Shares and Warrants with an aggregate Purchase Price of at least $1,000,000.
Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least ten percent (10%) of the shares of Preferred Stock then outstanding.
Major Investor. Any Investor that, collectively with such Investor's Affiliates, holds at least five million (5,000,000) shares of Registrable Securities (subject to appropriate adjustment for stock splits, stock dividends, combinations and other similar recapitalizations affecting such shares).
Major Investor. Major Investor. Means (i) any Investor that, individually or together with such Investor's Affiliates, holds at least twenty percent (20%) of the Registrable Securities, (ii) HBM BioVentures (Cayman) Ltd. and its Affiliates (collectively, "HBM") and (iii) Wex-Med, LLC and its Affiliates (collectively, "Wex-Med").
