Peer Group

Peer Group. Shall mean the companies set forth on Schedule A hereto as amended from time to time; provided, that a member of the Peer Group shall be dropped therefrom and may be replaced with a company chosen by the Committee (i) if the Peer Group company ceases to be a publicly traded company or (ii) upon the announcement of a definitive agreement to (x) acquire the Peer Group company, (y) the acquisition of 65% or more of the gross assets of the Peer Group company or (z) the merger of the Peer Group... company with another company(ies) where the Peer Group company's then current board of directors will not constitute a majority of the board of directors of the surviving corporation. Peer Group. The following eight companies: American Water Works Company, Inc., Aqua America, Inc., California Water Service Group, SJW Corp., Middlesex Water Company, Connecticut Water Service, Inc., York Water Company and Artesian Resources Corporation. Peer Group. (x) CVR Energy, Inc., Marathon Petroleum Corporation, Valero Energy Corporation, Delek US Holdings, Inc., HollyFrontier Corporation and Phillips 66 Company or (y) such other group of companies and indices (such as the S&P 1000 Energy Index) that are pre-established by the Committee which principally represent a group of selected peers, or such other group of companies as selected and pre-established by the Committee. In addition, such pre-established Peer Group is subject to the following adjustments: (a) If a member of the Peer Group is substantially acquired by another company, the acquired Peer Group company will be removed from the Peer Group for the performance periods not yet completed and for the entire 36-month Performance Period. 9 (b) If a member of the Peer Group sells, spins-off, or disposes of a portion of its business, then such Peer Group company will remain in the Peer Group for the Performance Period unless such disposition(s) results in the disposition of more than 50% of such company's total assets during the Performance Period. (c) If a member of the Peer Group acquires another company, the acquiring Peer Group company will remain in the Peer Group for the Performance Period, unless the newly formed company's primary business no longer satisfies the criteria for which such member was originally selected as a member of the Peer Group, then in such case the company shall be removed from the Peer Group. (d) If any member of the Peer Group splits its stock, such company's TSR performance will be adjusted for the stock split so as not to give an advantage or disadvantage to such company by comparison to the other companies. (e) If a member of the Peer Group is (x) delisted on all major U.S. stock exchanges, (y) is no longer publicly traded or (z) files for bankruptcy, liquidation or reorganization during the Performance Period, such member will remain in the Peer Group positioned below the lowest performing non-bankrupt member of the Peer Group for performance periods not yet completed and for the entire 36-month Performance Period. In addition, the Compensation Committee shall have the discretionary authority to make other appropriate adjustments, in response to a change in circumstances after the commencement of the Performance Period that results in a member of the Peer Group no longer satisfying the criteria for which such member was originally selected. In applying the described adjustments, in the event that any adjustment is made to the Peer Group during any Performance Period, PBF's TSR ranking within the peer group will be calculated for any incomplete or future performance periods (including the entire 36-month Performance Period) as if that company was not a peer at the start of each incomplete performance period. Peer Group. The following companies (or their successors): Berry Petroleum Company, Cabot Oil & Gas Corporation, Chesapeake Energy Corporation, Cimarex Energy Co., Comstock Resources, Inc., Denbury Resources Inc., EXCO Resources Inc., Forest Oil Corporation, Noble Energy, Inc., Petrohawk Energy Corporation, Pioneer Natural Resources, Plains Exploration & Production Company, Range Resources Corporation, SandRidge Energy, Southwestern Energy Company, Ultra Petroleum Corp. and Whiting Petroleum Corporation

Peer Group. The group of companies that are pre-established by the Board which principally represent a group of selected peers, or such other group of companies as selected and pre-established by the Board.

Peer Group. The companies that are members of the AMEX Oil Index as of the last business day of the 2010-2012 Performance Cycle, or such other group of companies as selected by the Committee at its discretion.

Peer Group. The companies represented in the SNL US REIT Office Index on January 2, 2020, as set for on Exhibit A, which remain publicly traded on an established exchange for the entire Measurement Period, except as described below. The Peer Group shall exclude a company that is acquired or completes a 'going private' transaction pursuant to Rule 13e-3 of the Securities Exchange Act of 1934 during or prior to the Measurement Period. Peer Group. Peer Group. A group of public companies that the Committee determines to be appropriate competitors of CSX for purposes of performance comparison. During a Performance Period, the Peer Group shall be adjusted as the Committee determines is required due to mergers or other corporate events affecting companies in the Peer Group.

Peer Group. Means the business entities set forth on Exhibit A to this Agreement, and any successors to the businesses or assets of such entities as determined by the Committee in its sole and absolute discretion.
