Performance Share

Performance Share. A grant of a stated number of shares of Common Stock to a Participant under the Plan that is forfeitable by the Participant until attainment of the specified performance goals, or until otherwise determined by the Committee or in accordance with the Plan, subject to the continuous employment of the Participant through the applicable Performance Period

Performance Share. A right, contingent upon the attainment of specified performance measures within a specified performance period, and / or the satisfaction of other terms and conditions determined by the Committee when the award is granted and set forth in the award agreement, to receive one Common Share, which may be restricted share, or in lieu thereof, the fair market value of such performance share or performance unit in cash.

Performance Share. Means a right whose value is determined with reference to attaining Performance Goals for a Performance Period or such other measure as may be approved by the Committee, from time to time, and which is paid in shares of Common Stock, cash or a combination thereof, as determined by the Committee in its discretion, subject to the terms and conditions provided for in Section 11 hereof.

Performance Share. Means the right to receive, upon satisfying designated performance goals for a Performance Period, shares of Common Stock.

Performance Share. Means an Award of a number of shares granted to a Participant pursuant to Section 12 which is initially valued according to Fair Market Value and is paid out based on the achievement of stated Performance Goals during a stated period of time.

Performance Share. Means a Share acquired pursuant to a grant of a Stock Award that is subject to vesting based upon the attainment of one or more Performance Criteria or other performance conditions.

Performance Share. Means an Award of Restricted Stock with performance-based vesting conditions.

Performance Share. Means a right, granted to a Participant under Section 12 of the Plan, that may be paid out as a Share.

Performance Share. Means "Performance Share" as such term is defined in the Plan.

Performance Share. Means a contractual right awarded pursuant to Section 10 of this Plan to receive a share of Stock (or its value in cash) that is forfeitable by the Grantee until the achievement of pre-established objectives over an established period.
