Performance Share

Performance Share. Means the equivalent of one share of Common Stock.

Performance Share. Means a bookkeeping entry that records the equivalent of one unit or share of Common Equity awarded pursuant to Section 10.

Performance Share. Shall mean any Award granted pursuant to Article 9 of the 2004 Plan and, subject to the terms of the 2004 Plan or any applicable Award Agreement, denominated in Shares.

Performance Share. Means a right to receive Company Stock (including Restricted Stock) or cash awarded upon the terms and subject to grant and vesting conditions as set forth in Section 7.

Performance Share. Means any grant pursuant to Section 6(h) of a unit valued by reference to a designated number of Shares, which value may be paid to the Participant by delivery of such property as the Committee shall determine, including cash, Shares, other property, or any combination thereof, upon achievement of such performance goals during the Performance Period as the Committee shall establish at the time of such grant or thereafter.

Performance Share. Means a right to receive a share of Company Stock subject to the satisfaction of performance conditions as set forth in Section 7.

Performance Share. Means a Stock Award denominated in shares of Common Stock equivalents granted pursuant to Section 7(c) that may be earned in whole or in part based upon attainment of performance objectives established by the Board pursuant to Section 8.

Performance Share. An Award pursuant to Section 11 of this Plan that provides the Participant the opportunity to earn one or more Shares contingent upon the achievement of one or more Performance Objectives during a Performance Period.

Performance Share. Means an Award, designated as a Performance Share, granted to a Participant pursuant to Section 9 herein, the value of which is determined by the Fair Market Value of Company Stock in a manner deemed appropriate by the Committee and described in the Agreement.

Performance Share. An Award as defined in Section 10 and granted under the Plan, the payment of which is contingent upon achieving certain performance goals established by the Committee.
