Permitted Transferee

Permitted Transferee. Has the meaning set forth in the LLC Agreement.

Permitted Transferee. Means, with respect to any Party, an Affiliate.

Permitted Transferee. Means, with respect to any person, (i) any Affiliate of such Person, (ii) if such person is a corporation, limited liability company, partnership or trust, the stockholders, partners, members, equityholders or beneficiaries of such Person, and (iii) any investment fund, the sole owner of which is or, if not the sole owner, the primary investment manager of which is such Person or one or more of its Affiliates.

Permitted Transferee. Shall mean, with respect to any Holder party to this Agreement, any Affiliate controlled by such Holder; provided, in each instance, that such transferee (x) agrees in writing to be bound by the provisions of this Agreement as if such transferee were the original signatory hereto and (y) shall thereafter be deemed to be a Holder under this Agreement.

Permitted Transferee. Means (i) any spouse, parents, siblings (by blood, marriage or adoption) or lineal descendants (by blood, marriage or adoption) of a Participant; (ii) any trust or other similar entity for the benefit of a Participant or the Participant's spouse, parents, siblings or lineal descendants; provided, however, that any transfer made by a Participant to a Permitted Transferee may only be made if the Permitted Transferee, prior to the time of transfer of Common Stock, agrees in writing to be bound by... the terms of this Agreement and provides written notice to the Company of such transfer. Permitted Transferee. Means, with respect to a specified Person, any Affiliate of such Person, provided that such Person is not a competitor of Mpower, as reasonably determined by the Board. Notwithstanding anything to the contrary contained herein, Parent and ICG shall be Permitted Transferees of one another hereunder. 2

Permitted Transferee. Means the transferee in a Permitted Disposition.

Permitted Transferee. Shall mean, with respect to any Clearlake Investor, (a) if any Transfer involves less than all of a Clearlake Investor's Registrable Securities, any Affiliate of a Clearlake Investor or Reservoir Capital Group or its Affiliates, or (b) if any Transfer involves all of a Clearlake Investor's Registrable Securities, to any Person other than a direct competitor of the Company.

Permitted Transferee. Means the Stockholder's Family Members and Personal Representative.
