Permitted Transferee

Permitted Transferee. An Affiliate of GEM or any other Investor.

Permitted Transferee. Means a Purchaser's spouse, child, estate, personal representative, heir or successor, or a trust for the benefit of such Purchaser or such Purchaser's spouse, child or heir or to a partnership or limited liability company the partners or members of which consist solely of such Purchaser or such Purchaser's spouse, children or heirs.

Permitted Transferee. Means a Stockholder's spouse, child, estate, personal representative, heir or successor, or a trust for the benefit of such Stockholder or such Stockholder's spouse, child or heir or to a partnership the partners of which consist solely of such Stockholder or such Stockholder's spouse, child, heir or successor.

Permitted Transferee. Shall mean any Person to whom any Shares are transferred in accordance with and subject to the terms of this Agreement.

Permitted Transferee. With respect to any Holder, (i) any trustee, nominee, or custodian of such Holder; (ii) any unit holder, shareholder, partner, participant, manager, or adviser (or an employee of such manager or adviser) in any such Holder; or (iii) any investment fund (or its trustee, nominee or custodian) managed or advised by the same manager or adviser as such Holder.

Permitted Transferee. Shall mean (a) an "affiliate" as defined under Rule 144(a) of the Rules and Regulations promulgated under the Securities Act of 1933, as amended (an "Affiliate"), (b) any other entity that is a parent or a subsidiary of a Stockholder or a subsidiary of a Stockholder's parent, and (c) any constituent partners of a Stockholder.

Permitted Transferee. Means any Affiliate of the Purchasers or KL who receives Voting Shares by way of purchase, transfer or assignment from the Purchasers or KL.

Permitted Transferee. Shall mean a Stockholder's, NBC's or any Permitted Transferee's, as the case may be, Affiliate, spouse and descendants (whether natural or adopted), any spouses of such descendants, any trust for the benefit of such person or persons, a legal guardian for any minor descendants (whether natural or adopted) or any of the foregoing, provided that such Permitted Transferee agrees to be bound by the terms of this Agreement. Permitted Transferee. Any Person (other than the Company) who shall acquire any shares of Company Securities in a Permitted Transfer.

Permitted Transferee. A lineal descendant, spouse, or parent of a Holder who is a natural person, or, in the event of a transfer upon the Holder's death, the executor or personal representative of the Holder's estate.
