Qualified Financing. Means the first bona fide equity transaction (consummated in one transaction or series of transactions involving the issuance of substantially the same class of shares) following the Closing Date with the principal purpose of raising capital, in which the aggregate gross amount of equity funds raised by the Company exceeds US$5,000,000 (excluding any amounts received upon the exercise of this Warrant or conversion of convertible securities outstanding at the Closing Date) (the "Threshold")....
