Qualified Financing. An equity or equity linked round of financing of the Company for cash proceeds of no less than $10 million
Qualified Financing. The closing of an equity (or equity-linked financing) investment in the Company's capital stock occurring after the date hereof in which the Company receives from one or more investors net proceeds to the Company of at least $1,715,604 (not including any outstanding debt conversion or investments made by the Lender)
