Qualified Financing

Qualified Financing. The next issuance and sale of capital stock of the Company, in a single transaction or series of related transactions, to investors resulting in gross proceeds to the Company of at least $2,000,000.00 (excluding indebtedness converted in such financing)

Qualified Financing. Means a private placement by the Company of its equity or equity linked securities to one or more accredited investors pursuant to which the Company receives gross proceeds of at least Three Million United States Dollars ($3,000,000).

Qualified Financing. Means a private placement by the Company of its equity or equity linked securities to one or more accredited investors.

Qualified Financing. Shall have the meaning given in the Note.

Qualified Financing. Qualified Financing. The sale prior to the Company's IPO of Securities of the Company to investors in a single transaction or a series of related transactions resulting in aggregate cash proceeds to the Company of not less than $1,000,000

Qualified Financing. The first issuance of convertible preferred stock by the Company to investors after the Original Issue Date, with immediately available gross proceeds to the Company (including proceeds from the Bridge Notes and any other indebtedness of the Company that convert into equity in such financing) of at least $10,000,000.
