Example Definitions of "Qualified Financing"
Qualified Financing. Means any equity offering obtained by the Corporation or the Reporting Company after the date of this Amended and Restated Certificate of Incorporation, provided, however, the gross aggregate proceeds raised shall be no more than $1,000,000 and a Qualified Financing may not occur more than twelve (12) months after the date of this Amended and Restated Certificate of Incorporation. Qualified Financing. Means the next sale prior to the Company's IPO of preferred stock of the Company to purchasers which include venture capital investors in an aggregate cash amount not less than $10,000,000.
Qualified Financing. Any public or private issuance of Common Stock and/or Common Stock Equivalents with gross offering proceeds of not less than $1,500,000. For purposes of determining gross offering proceeds, the principal amount of any Notes tendered as payment for such Qualified Financing shall not be counted.
