Example Definitions of "Qualified Financing"
Qualified Financing. The Company's first sale or issuance of its equity securities after the date hereof in one transaction or a series of related transactions (which, for the avoidance of doubt, may include warrant(s) or other securities convertible into or exercisable for capital stock of the Company) for an aggregate purchase price paid in cash (not including the Note Amount converted pursuant to Section 2) of at least $3,000,000
Qualified Financing. Any equity financing or series of equity financings in which the Company receives gross proceeds of an aggregate of at least $7,500,000
Qualified Financing. The next equity or equity-linked round of financing of the Company in whatever form or type that raises in one or more tranches aggregate gross proceeds of $7,000,000 or more, less the aggregate amount raised by the Company pursuant to the Subscription Agreement and the Existing Notes.
Qualified Financing. An offering of equity or debt securities of the Company with net proceeds to the Company of at least $5 million
Qualified Financing. The Maker's next Common Stock financing, whether in a single transaction or series of related transactions, whether a public or private financing, yielding aggregate cash proceeds to the Maker (inclusive of amounts converted under the Notes or other outstanding indebtedness of the Maker) (such amount, the "Proceeds") of at least $5.0 million.
Qualified Financing. The next issuance and sale of capital stock of the Company, in a single transaction or series of related transactions, to investors resulting in gross proceeds to the Company of at least $2,000,000.00 (excluding indebtedness converted in such financing)
