Example Definitions of "Qualified Financing"
Qualified Financing. Means an equity financing that results in not less than $25 million of gross proceeds to the Company at a price per share of Common Stock equal to or greater than $25.00 (as split adjusted).
Qualified Financing. The closing of the sale by the Company of its preferred stock (or, in connection with or following a Public Company Event, the sale by the Company or any successor of its common stock) in an equity financing transaction in one or more closings with gross proceeds of at least $75,000,000 (including the conversion of any indebtedness)
Qualified Financing. The next equity round of financing of the Company of Common Stock or Common Stock Equivalents in a transaction or series of transactions that raises in excess of $5,000,000 in gross proceeds (excluding securities convertible into the equity security sold in such offering).
Qualified Financing. Shall mean any transaction (or the first tranche of any series of integrated transactions) with a third party that results in the infusion, contribution or investment into or receipt by Maker or any affiliate thereof of capital through a private placement of Maker's securities, revenue or any other proceeds, without regard to the nature or type of transaction, including, without limitation, from debt financing, private placement equity financing or the licensing or sublicensing of all or any... part of the technology (e.g., licensed patents, knowhow or materials) licensed by Maker under any license agreement or otherwise owned by it; provided, however, that in no event shall a Qualified Financing include a Significant Transaction. Qualified Financing. A sale of capital stock by the Company to one or more investors after the Initial Issuance Date that generates gross proceeds to the Company of at least $20,000,000.
Qualified Financing. A transaction involving the issuance by the Company of new Ordinary Shares (including in the form of new ADSs) that would result in at least $50,000,000 in gross proceeds to the Company, the pricing of which occurs between the date of this Agreement and the Initial Closing
