Qualified IPO. Means the initial registered public offering of Common Shares in the United States.
Qualified IPO. A firm commitment underwritten public offering by the Company of shares of Common Stock (i) pursuant to a registration statement on Form S-1 under the Securities Act of 1933, as amended (or any successor form) and (ii) with a pre-money valuation of the Company of at least $125 million and resulting in gross proceeds to the Company of $15 million.
Qualified IPO. Qualified IPO. Means the effectiveness after the Closing Date of a registration statement under the Securities Act of 1933, as amended (the "Securities Act") on any of Forms S-1, S-2, S-3 or any similar successor form covering any of the Common Shares, and the completion of a sale of such Common Shares thereunder, (i) for which aggregate gross proceeds exceed $125 million, (ii) pursuant to which the offering price to the public per share of the Common Shares so offered is equal to or greater than (A) the... aggregate Liquidation Preference (as defined in the Preferred Statement) , together with accrued but unpaid dividends, if any, including any Participating Dividends (as defined in the Preferred Statement) of the Preferred Shares then outstanding, divided by (B) the total number of Conversion Shares (as defined in the Preferred Statement) issuable upon conversion of all Preferred Shares then outstanding, (iii) following which the Company is, or becomes, a reporting company under Section 12(b) or 12(g) of the Securities Exchange Act of 1934, as amended, and (iv) as a result of which the Common Shares are traded on the New York Stock Exchange or the American Stock Exchange, or quoted on the NASDAQ Stock Market or is traded or quoted on any other national stock exchange. Qualified IPO. Shall mean a firm commitment underwritten public offering registered under the Securities Act or any successor statute, in which (i) the public offering price per share of the Common Stock is at least 200% of the Original Issue Price and (ii) the aggregate gross proceeds to the Company and any selling stockholders of the Company are not less than $35,000,000.
Qualified IPO. Means the initial firm commitment underwritten public offering by the Company of shares of its Common Stock pursuant to a registration statement under the Act, which results in aggregate proceeds to the Company of at least $50.0 million (before deducting underwriting discounts and commissions and offering expenses).
Qualified IPO. Means the closing of: (i) a bona fide registered firm commitment underwritten public offering of shares of Common Stock by a nationally recognized investment bank on a major stock exchange in the United States, Canada or United Kingdom (including the NASDAQ National Market); (ii) such other transaction which results in the listing of the Common Stock on a major stock exchange in the United States, Canada or United Kingdom.
Qualified IPO. The Company's initial sale of Common Stock to the public in a public offering pursuant to a Registration Statement under the Securities Act of 1933, amended (the "Act"), at a price per share to the public equal to at least $15.00 (as adjusted for stock dividends, combinations, subdivisions or stock splits with respect to such shares).
Qualified IPO. Shall mean the closing of a firm commitment underwritten public offering pursuant to an effective Registration Statement covering the offer and sale of Common Stock for the account of the Company to the public with aggregate proceeds to the Company in excess of $50,000,000 (before deduction for underwriters commissions and expenses) in which the valuation of the Company immediately prior to the closing of such offering is at least $200 million.
Qualified IPO. Shall have the meaning given to such term in the Company's Amended and Restated Certificate of Incorporation, as the same may be amended from time to time.
