Example Definitions of "Qualified IPO"
Qualified IPO. Means an initial underwritten public offering by the Company of its Shares pursuant to an effective registration statement under the US Securities Act of 1933, as amended or any equivalent law of another jurisdiction including the Israeli law (pertaining to public offering at TASE) at a Company valuation of at least US$25,000,000 (Twenty Five Million Dollars);
Qualified IPO. The initial underwritten public offering of common Equity Interests of Parent pursuant to an effective registration statement filed with the Securities and Exchange Commission in accordance with the Securities Act of 1933, as amended, that results in at least $50,000,000 of net cash proceeds in the aggregate to Parent and/or its shareholders.
Qualified IPO. Has the meaning set forth in the Note and Unit Subscription Agreement.
Qualified IPO.
