Example Definitions of "Qualified IPO"
Qualified IPO. Shall have the meaning set forth in the Securities Purchase Agreement.
Qualified IPO. (i) the receipt of the Company of gross cash proceeds of at least $5,000,000 from the closing of a firmly underwritten public offering of the Common Stock or (ii) the declaration of effectiveness of the Registration Statement by the Commission
Qualified IPO. Means the closing of a firm commitment, underwritten, public offering, managed by an internationally-recognized investment bank as lead underwriter or bookrunner, in which the Company receives net proceeds of at least $50,000,000. For the avoidance of doubt, there will be no obligation to pay any dividend preference to the Holder with the proceeds of any Qualified IPO or Non-Qualified IPO.
Qualified IPO. Has the meaning assigned to the term "Qualified Public Offering" in the Certificate of Incorporation.
Qualified IPO. A firm commitment underwritten public offering by the Company of shares of its Common Stock, the public offering price per share of which is not less than $5.00 per share (subject to appropriate adjustment for stock splits, stock dividends, combinations, and other recapitalizations), and which results in aggregate cash proceeds to the Company of not less than $75 million (net of underwriting discounts and commissions).
Qualified IPO. Means the consummation of a firm commitment underwritten public offering of Common Stock pursuant to the Securities Act on Form S-1 with aggregate proceeds to the Company not less than $40,000,000 (net of the underwriting discount and commissions) and having a purchase price of not less than $1.84 per share (as adjusted for stock splits, dividends, recapitalizations and the like after the date hereof).
