Example Definitions of "Qualified IPO"
Qualified IPO. Shall mean a firm commitment underwritten public offering of shares of Common Stock of the Company at a per share price not less than $7.00 per share (as appropriately adjusted for stock splits, dividends, reclassifications, etc.) and for total net proceeds (after deduction of Selling Expenses) of at least $50 million.
Qualified IPO. Means a bona fide public offering of the Company's Common Stock on either The NASDAQ Global Market, the New York Stock Exchange or another major stock exchange that results in gross proceeds to the Company of at least $50 million.
Qualified IPO. The Company's first Public Offering underwritten by an approved underwriter that is effected pursuant to a registration statement filed with, and declared effective by, the SEC under the Securities Act which results in net cash proceeds to the Company or any security holder of the Company of at least Fifty Million Dollars ($50,000,000).
Qualified IPO. Means the closing of the sale of shares of Common Stock in a firm commitment underwritten public offering pursuant to an effective registration statement under the Securities Act, in which the gross aggregate cash proceeds to the Company (before deduction of underwriting discount, commissions and expenses of sale) are at least $50,000,000.
Qualified IPO. Qualified IPO.
