SAR

SAR. Means a stock appreciation right granted under Section 8 of the Plan in respect of one or more shares of Stock that entitles a Grantee to receive, in cash or shares of Stock, at the discretion of the Committee, an amount equal to the excess, if any, of the Fair Market Value of a share of Stock on the date the SAR is exercised over the Base Price.

SAR. Shall mean a stock appreciation right that is granted pursuant to Section 6 of the Plan.

SAR. Means a stock appreciation right, which is a right to receive an amount in cash, or Shares, or a combination of cash and Shares, as determined by the Committee, no greater than the excess, if any, of (i) the Fair Market Value of a Share on the date the SAR is exercised, over (ii) the SAR Base Price.

SAR. Or "Stock Appreciation Right" means a right to receive a payment, in cash or Common Stock, equal to the excess of the Fair Market Value of one share of Common Stock on the Exercise Date over a specified Exercise Price, in each case as determined by the Committee subject to Section 9.

SAR. Means a stock appreciation right granted under the Plan.

SAR. Shall mean a stock appreciation right.

SAR. Means a stock appreciation right granted under the Plan which gives the Recipient the right, without payment to the Company, to receive the Value of such SAR, to be paid in cash.

SAR. The right, granted to a Grantee under Section 6(b)(ii), to be paid an amount measured by the appreciation in the Fair Market Value of Stock from the date of grant to the date of exercise of the right.

SAR. An Award granted to a Participant, either alone or in connection with a related Option, pursuant to Section 8.

SAR. Means a Stock Appreciation Right, i.e. the contractual right to receive a cash bonus on or before a designated date in an amount equal to the increase (if any) between the FMV as of the date of issuance of the SAR (or other designated base date) and the FMV as of the date of exercise or expiration of the SAR (or other designated end date).
