SAR

SAR. Means an Award, designated as a Share Appreciation Right, granted pursuant to the terms of Section 8 of this Plan.

SAR. Means a stock appreciation right subject to the appropriate requirements under Section 5 and awarded in accordance with the terms of the Plan.

SAR. Means a right to receive the Appreciation Value of a Share.

SAR. Means a right to receive a cash amount equal to the Appreciation Value of a Share.

SAR. The SAR

SAR. Means a right, granted under the Plan, to receive, in cash or Shares value equal to or otherwise based on the excess of the Fair Market Value of a specified number of Shares at the time of exercise over an exercise price established by the Committee.

SAR. Means a share appreciation right, representing the right, subject to the terms and conditions of the Plan and the applicable Award Agreement, to receive a payment, in cash and/or Common Stock (as specified in the applicable Award Agreement), equal to the excess of the Fair Market Value of a share of Common Stock on the date the SAR is exercised over the "base price" of the SAR, which base price shall be set forth in the applicable Award Agreement. 30

SAR. Shall mean a right to receive the appreciation in value, or a portion of the appreciation in value, of a specified number of Shares over a specified period of time.

SAR. A right authorized under this Plan to receive a number of shares of Common Stock or an amount of cash, or a combination of shares and cash, the aggregate amount or value of which is determined by reference to a change in the Fair Market Value of the Common Stock.

SAR. The grant price of a substitute SAR shall be equal to the exercise price of the replaced Option. Upon exercise of an SAR, Optionee shall receive from the Company an amount equal to (i) the number of Common Shares with respect to which the SAR is exercised multiplied by (ii) the excess of the fair market value of a Common Share on the exercise date over the grant price of the SAR, payable in Common Shares.
