Separation From Service. Shall mean a change in the Employee's relationship with the Company that meets the following conditions: (i) constitutes the voluntary or severing of the Employee's employment with the Company (and all entities which would be included with the Company as the "service recipient" under the definition of such term in the Treasury Regulations pertaining to Section 409A) for any reason, including but not limited to resignation by the Employee, and Separation from Service of the Employee's employment... on account of retirement, death, or disability, and (ii) results in a permanent decrease in the level of bona fide services performed by the Employee for the Company and other service recipients (as defined above) to a level that is not more than 20 percent of the level of services performed by the Employee for the Company (and other service recipients, as defined above) over the immediately preceding 36-month period. A Separation from Service shall not include a leave of absence, paid or unpaid, under which there is a reasonable expectation that the Employee will return to perform services for the Company and/or other service recipients, as defined above, if the period of such leave does not exceed six months. Separation From Service. Means the termination, whether voluntary or involuntary, of Executive's employment for reasons other than death. Whether a Separation from Service takes place is determined based on the facts and circumstances surrounding the termination of Executive's employment and whether the Corporation and Executive intended for Executive to provide significant services for the Corporation or Bank following such termination. Separation From Service. The termination of employment with the Company or an Affiliate, other than in connection with the transfer of employment to another Affiliate, or such other date as required to comply with Legal Deferral Requirements.

Separation From Service. Shall mean the date the Company and the Grantee reasonably anticipate that the Grantee will not perform any further services for the Company or any other entity considered a single employer with the Company under Section 414(b) or (c) of the Code (inserting in lieu of 80% each time it is used thereunder with 50%) (together referred to herein as the "Controlled Group"). A Grantee shall not be considered to have incurred a Separation if the Grantee changes to part-time status or serves as both... member of the Board of Directors and as an employee, and only one of those two service arrangements ends, such that exercisability and vesting of this SAR will continue as long as one or the other service arrangement continues. The Grantee will not be treated as having a Separation from Service while on military leave, sick leave or other bona fide leave of absence if the leave does not exceed six months or, if longer, the period during which the Grantee has a reemployment right with the corporation by statute or contract. Separation From Service. Separation from Service means an Employee's termination of employment with the Employer. Whether a Separation from Service has occurred shall be determined by the Committee in accordance with Code Section 409A. An Employee who is absent from work due to military leave, sick leave, or other bona fide leave of absence shall incur a Separation from Service on the first date immediately following the later of: (i) the six month anniversary of the commencement of the leave, or (ii) the expiration of... the Employee's right, if any, to reemployment under statute or contract. For purposes of determining whether a Separation from Service has occurred, the Employer means the Employer as defined in Section 2.24 of the Plan, except that in applying Code sections 1563(a)(1), (2) and (3) for purposes of determining whether another organization is an Affiliate of the Company under Code Section 414(b), and in applying Treasury Regulation Section 1.414(c)-2 for purposes of determining whether another organization is an Affiliate of the Company under Code Section 414(c), "at least 50 percent" shall be used instead of "at least 80 percent" each place it appears in those sections. Separation From Service. Means the termination of the Participant's service on the Board for any reason; provided, however, that solely for purposes of Section 4 of Part III, "Separation from Service" will mean a "Separation from Service" as that term is used in Section 409A(a)(2)(i) of the Code and defined in regulations issued thereunder.
