Separation From Service. A Participant's separation from service from the Company and its Subsidiaries within the meaning of Section 409A

Separation From Service. The meaning set forth under Treasury Regulations Section 1.409A-1(h) and without regard to any alternate definition thereunder

Separation From Service. The Participant's ceasing to be employed by the Company or one of its Affiliates for any reason whatsoever, whether voluntarily or involuntarily, including without limitation by reason of early retirement, normal retirement, or death, provided that transfer from the Company to one of its Affiliates or vice versa shall not be deemed a Separation from Service for purposes of this Plan

Separation From Service. Shall have the meaning specified by Section 409A and the rules and regulations thereunder, as such meaning may be modified or amended from time to time.

Separation From Service. Have the same meaning as in Regulation 1.409A-1(h)

Separation From Service. Shall mean the termination of Grantee's Service for any reason, whether voluntary or involuntary, with or without Cause, and shall be a separation from service within the meaning of Code Section 409A.

(i) with respect to a Recipient who is an employee of the Company or an Affiliate, the termination of employment with the Company and all Affiliates that constitutes a "separation from service" within the meaning of Treas. Reg. § 1.409A-l(h)(l), (ii) with respect to a Recipient who is a consultant of the Company or an Affiliate, the expiration of his contract or contracts under which services are performed that constitutes a "separation from service" within the meaning of Treas. Reg. §... 1.409A-l(h)(2), or (iii) with respect to a Recipient who is a non-employee director of the Company or an Affiliate, the date on which such non-employee director ceases to be a member of the Board (or other applicable board of directors) for any reason. Separation From Service. (i) "Separation from Service" means Executive's "separation from service" as defined in Treasury Regulation Section 1.409A-1(h).

Separation From Service. Unless otherwise determined by the Board, the termination of the Participant's performance of services for the Company and all Affiliates.

Separation From Service. A Non-Employee Director ceasing to be a member of the Board due to a voluntary or involuntary separation from service, for any reason, determined in accordance with Section 409A.
