Shares. The shares of Class A Common Stock of the Company, par value $1.00 per share (and not the Class B Common Stock).

Shares. Means shares of the Series A Convertible Preferred Stock of the Company

Shares. The shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

Shares. Means the shares of Series A Preferred Stock issued or issuable to the Registration Rights Purchaser pursuant to the Investment Agreement

Shares. Has the meaning set forth in the recitals to this Agreement. For the avoidance of doubt, "Shares" shall include only those shares of Class A Common Stock purchased by the Investor pursuant to this Agreement.

Shares. Means (i) all shares of Company Capital Stock beneficially owned by the Stockholder as of the date hereof, and (ii) all additional shares of Company Capital Stock acquired and beneficially owned by the Stockholder during the period commencing with the execution and delivery of this Agreement and expiring on the Closing Date.
