Shares

Shares. The Rule 144A Shares, the Regulation S Shares and the Regulation D Shares sold pursuant to the terms and conditions of the Initial Purchase/Placement Agreement, the Subsequent Purchase/Placement Agreement or the subscription agreement executed by the Participant.

Shares. Means (a) the Purchased Shares purchased by the Stockholder pursuant to Section 2(a) of this Agreement and (b) all shares of the Company's capital stock issued with respect to the Purchased Shares by way of dividend or stock split or in connection with any merger, consolidation, recapitalization or reorganization affecting the Company's capital stock.

Shares. Shall mean the Company's Series B, C , D and E Preferred Stock.

Shares. Means the shares of Common Stock acquired upon exercise of an Option.

Shares. Means shares of Common Stock and Common Stock Equivalents.

Shares. Means ordinary shares with a par value of €25 each in the capital of the Company;

Shares. Means (i) Series A Preferred issued to the Series A Purchasers, (ii) Series B Preferred issued to the Series B Purchasers and (iii) Series C Preferred issued to the Series C Purchasers pursuant to the terms of the Purchase Agreement; provided, however, that for purposes of exercising rights under this Agreement, Shares owned by a Purchaser shall be deemed to include Shares which have been converted into Common Stock so long as such Common Stock is owned by such Purchaser.

Shares. The Preferred Shares, Exchange Shares, and Warrant Shares.

Shares. Shall mean: (i) all equity securities of Micro Linear (including all shares of Micro Linear Common Stock and all options, warrants and other rights to acquire shares of Micro Linear Common Stock) owned by Stockholder as of the date of this Agreement, and (ii) all additional equity securities of Micro Linear (including all additional options, warrants and other rights to acquire shares of Micro Linear Common Stock) of which Stockholder acquires beneficial ownership during the period commencing... with the execution and delivery of this Agreement until the Expiration Date. Shares. Shall mean (i) all shares of Common Stock granted pursuant to this Restricted Stock Agreement and (ii) all shares of Common Stock issued with respect to the Common Stock referred to in clause (i) above by way of stock dividend or stock split or in connection with any conversion, merger, consolidation or recapitalization or other reorganization affecting the Common Stock.
