Means the shares of Common Stock issued or issuable upon conversion of the Notes or exercise of the Series A Warrants issued to the Investor pursuant to the Subscription Agreement and, if permitted by the rules of regulations of the Commission under the Securities Act, the shares of Common Stock issued or issuable upon exercise of the Series B Warrants issuable to the Investor

Shares. Shall mean any and all voting securities of the Company beneficially owned (however held or titled, and including joint ownership) by the Stockholder as of the record date (whether now owned or hereafter acquired) for every meeting of stockholders of the Company called with respect to the Proposal (as defined below), and every postponement or adjournment thereof.

Shares. Shares of $.01 par value common stock of the Company or such other securities or property as may become subject to Awards pursuant to an adjustment made under Section 5(c).

Shares. Shares do not include any securities acquired after the closing of the Initial Public Offering or acquired from the underwriters in the Initial Public Offering.
