Shares

Shares. Shall have the meaning set forth in the Background to the Agreement.

Shares. Means the shares of Preferred Stock issuable to the Investors upon the conversion of the Notes.

Shares. The Company's Common Stock or any securities exercisable and/or convertible into the Company's Common Stock.

Shares. Means (i) all securities of the Company (including Company Stock, Company Restricted Stock, Company Stock Options, Company RSUs, Company SARs and other options, warrants and other rights to acquire shares of Company Stock) beneficially owned by Stockholder as of the date hereof and set forth on Schedule 1 and (ii) all additional securities of the Company (including Company Stock, Company Restricted Stock, Company Stock Options, Company RSUs, Company SARs, other options, warrants and rights to... acquire shares of Company Stock, and any such shares of Company Stock acquired as a result of exercise or settlement thereof) of which Stockholder acquires beneficial ownership during the period from the date of this Agreement through the record date for the Company Stockholder Meeting or, if later, the record date for any adjournment or postponement thereof (including by way of stock dividend or distribution, split-up, recapitalization, combination, exchange of shares and the like). Shares. Means shares of Common Stock of the Company as defined herein.

Shares. Means the shares of Common Stock issuable upon conversion of the Notes issued pursuant to the Securities Purchase Agreement.

Shares. Means the shares of Common Stock of Company which are granted as Awards under the Plan.

Shares. Means two million shares of the Acquiror Company's common stock held by the Acquiror Company Principal Shareholders on the date hereof as adjusted for any stock split, combination, recapitalization or similar event.

And includes all shares of Common Stock and Preferred Stock of the Company issued and outstanding at the relevant time plus (i) all shares of Common Stock and Preferred Stock of the Company that may be issued upon exercise of any options, warrants and other rights of any kind that are then exercisable, and (ii) all shares of Common Stock and Preferred Stock of the Company that may be issued upon conversion of (A) any convertible securities, including, without limitation, preferred stock and... debt securities then outstanding, which are by their terms then convertible into or exchangeable for Common Stock 2 and Preferred Stock of the Company or (B) any such convertible securities issuable upon exercise of options, warrants or other rights that are then exercisable. Shares. Means shares of capital stock of the Company at any time outstanding, including shares of Preferred Stock and shares of Common Stock issued or issuable upon exercise or conversion, as applicable, of stock options, warrants, or other convertible securities of the Company, in each case, now owned or subsequently acquired by any stockholder, or such stockholder's successors or assigns.
