Shares. Shares. Means (i) all shares of Common Stock owned, beneficially or of record, by a Shareholder as of the date hereof, and (ii) all additional shares of Common Stock acquired by a Shareholder, beneficially or of record, during the period commencing with the execution and delivery of this Agreement and expiring on the Expiration Date. For avoidance of doubt, "Shares" shall include any shares of Common Stock owned indirectly by a Shareholder through the KSOP.
