Successor Entity. Either (x) the Person formed by, resulting from or surviving any Fundamental Transaction or the Person with which such Fundamental Transaction shall have been entered into (the "Surviving Entity"), (y) if the Parent Company is a public company and the Surviving Entity is not a public company, the Parent Company or (z) if both the Parent Company and the Surviving Entity are public companies, if so elected by the Holder, the Parent Entity
