Termination Date

Termination Date. Means the date when all Registrable Securities which are (or pursuant to Section 2(a) may be) covered by the Registration Statement have been sold or may be sold without volume restrictions pursuant to Rule 144(k) as determined by the counsel to the Company pursuant to a written opinion letter to such effect, addressed and acceptable to the Company's transfer agent and the Holders.

Termination Date. Shall mean the earlier of (i) the date which is eighteen (18) months after the Closing Date, or (ii) the date on which Purchaser and the Representatives terminate this Agreement pursuant to the terms hereof.

Termination Date. Shall mean 5:00 p.m. Pacific Time on December 23, 2005.
