Termination Date

Termination Date. Shall mean the date subsequent to a Change in Control that the Employee's employment with the Company terminates.

Termination Date. For the purposes of this Agreement, "Termination Date" shall mean the effective date of Employee's termination of employment with the Company.

Termination Date. Means (i) as to the Revolving Loans, Swingline Loans and Competitive Loans, May 18, 2004, as such date may be extended pursuant to Section 3.4 and (ii) as to the Term Loan, November 22, 2004.

Termination Date. Shall mean the date specified in the notice of termination, as set forth in Section 9 below, which date shall be not less than thirty (30) days after the giving of such notice.

Termination Date. The date which corresponds to the first to occur of (i) the death or Disability of Executive, (ii) the last day of the Term as provided in Section 4(a) below or (iii) the date set forth in a notice given pursuant to Section 4(b) below.

Termination Date. Shall mean the date specified in the Notice of Termination described in Section 2 or, if later, the date on which the Notice of Termination is deemed to be received (as provided in Section 16).

Means: (i) in the case of a termination of the Executive's employment by the Company for Cause, the effective date of such termination specified in the Notice of Termination, which, if the event constituting Cause for termination is of a type specified in clause (i) or clause (iii) of the definition of Cause, shall be not less than 21 business days from receipt of the Notice of Termination by the Executive; (ii) in the case of a termination of the Executive's employment by the Company without... Cause, the date specified in a written notice of termination to the Executive, such written notice to provide at least 90 days' advance written notice of termination; (iii) in the case of the Executive's resignation from employment without Good Reason, the date specified in a written notice of resignation from the Executive to the Company, such written notice provide at least 90 days' advance written notice of resignation; (iv) in the case of the Executive's resignation from employment for Good Reason, the date specified in a written notice of resignation from the Executive to the Company, provided, however, that no such written notice shall be effective unless the cure period specified in the definition of Good Reason has expired without the Company having corrected, to the reasonable satisfaction of the Executive, the event or events subject to cure; (v) in the case of termination of employment due to the Executive's death, the date of death; and (vi) in the case of termination of employment due to the Executive's Disability, the effective date of termination specified in a written notice of termination from the Company to the Executive, which effective date shall be not earlier than the last day of the 180 day period provided for in the definition of "Disability" above View More

Termination Date. Any date upon which this Agreement shall terminate in accordance with the terms hereof.

Termination Date. Shall mean, for any particular member of the Company Group that has joined with the Vivendi Group in the filing of a Vivendi Group Tax Return, the date on which a Termination Event occurs.
