Termination Date

Termination Date. (i) (A) in the case of the Executive's death, the date of death, (B) if the Executive's employment is terminated for Disability, thirty (30) days after Notice of Termination is given (provided that the Executive shall not have returned to the performance of the Executive's duties on a full-time basis during such thirty (30) day period) and (C) if the Executive's employment is terminated for any other reason, the date specified in the Notice of Termination (which, in the case of a termination... for Cause, shall not be less than thirty (30) days and, in the case of a termination for Good Reason, shall not be more than sixty (60) days, from the date such Notice of Termination is given); provided, however, that if within thirty (30) days after a Notice of Termination by the Employer for Cause or a Notice of Termination by the Executive for Good Reason is given, the party receiving such Notice of Termination in good faith notifies the other party that a dispute exists concerning the basis for the termination, the provisions of paragraph (ii) shall apply. (ii) If the Executive gives the Employer Notice of Termination for Good Reason and the Employer disputes the basis for the termination, the Termination Date shall be the date on which the dispute is finally determined, either by mutual written agreement of the parties, or by arbitration as provided in Section 12, and the Employer shall continue to pay the Executive the Executive's Base Amount and continue the 14 Executive as a participant in all compensation, incentive, bonus, pension, profit sharing, medical, hospitalization, dental, life insurance and disability benefit plans in which the Executive was participating when the notice giving rise to the dispute was given, until such Termination Date, provided that if the Executive continues to perform the Executive's duties with the Employer during the pendency of such dispute, the Executive shall not be obligated to repay to the Employer any amounts paid or benefits provided pursuant to this Section 18(m), and provided, further, that if the Executive ceased performing the Executive's duties with the Employer during the pendency of such dispute, and the dispute is resolved in favor of the Executive, any amount owed to the Executive pursuant to Sections 2 and 3 of this Agreement shall be reduced to the extent of any amount the Executive received pursuant to this Section 18(m) during the pendency of such dispute; and (ii) if the Employer gives the Executive Notice of Termination for Cause and the Executive disputes the basis for the termination, the Termination Date shall be as determined pursuant to Section 18(m)(i) and during the pendency of such dispute the Executive shall not be entitled to payment of the Executive's Base Amount from the Employer and, except as required by law, the Executive's participation in the Employer's benefit plans and programs shall be discontinued. Termination Date. The date of termination of this Agreement whether pursuant to (i) the non-renewal of this Agreement under Paragraph 15 below or (ii) written notice of termination under Paragraph 16 below.

Termination Date. Executive's last day of employment with Company. For avoidance of doubt, the Termination Date will be deemed not to have occurred unless Executive's last day of employment also constitutes a "separation from service" within the meaning Section 409A of the IRC

Termination Date. The date on which Employee's "separation from service" has occurred, as defined under Section 1.409A-1(h) of the Treasury Regulations under Section 409A of the Code. For purposes of this Agreement, a termination of Executive's employment is intended to constitute a "separation from service" within the meaning of Section 409A

Termination Date. The effective date of termination of employment, subject to the expiration of any applicable cure period, or in the case of a termination upon Employee's death, the date on which Employee dies as determined by reference to the final death certificate.

Termination Date. Means the date on which the Participant experiences a Termination of Employment (as defined in the Plan).
