Termination of Employment. Termination of Employment with respect to the Employee means the Employee's termination of employment (within the meaning of that phrase in Treas. Reg. § 1.409A-1(h)(1)) with the Company that constitutes a separation from service (within the meaning of that phrase in Treas. Reg. § 1.409A-1(h)) with respect to the Company.
Termination of Employment. Executive's termination of employment from the Company which constitutes a "separation from service", as such term is defined under Section 409A of the Internal Revenue Code of 1986, as amended (the "Code").

Termination of Employment. The Executive's termination of employment, for any reason, from the Company and all affiliates. Notwithstanding the foregoing, an event shall not be deemed to be a Termination of Employment if it would not qualify as a "separation from service" pursuant to Code Section 409A and the regulations promulgated thereunder.
