Unit

Unit. Means an undivided interest in NexGen, including the rights and benefits set forth in that certain Limited Liability Company Agreement of Nexgen Diagnostics LLC dated as of November 8, 2006, as amended (the "LLC Agreement"), together with all obligations of the holders thereof set forth in such Agreement.

Unit. A unit consisting of __________________ Share and __________________________ Warrant;

Unit. A unit consisting of one Share and 1⁄2 a "Warrant".

Unit. A unit consisting of one Share and one "Series A Warrant".

Unit. Means a unit consisting of a share of Common Stock and a Warrant.

Means (a) a Class B Unit representing a limited partnership interest in the Company and (b) any equity security issued, directly or indirectly, with respect to a Class B Unit by way of dividend or unit split, exchange or conversion, or in connection with a combination of units, shares, recapitalization, merger, consolidation or other reorganization.

Unit. Means one Conversion Share and one Warrant.

Unit. Means a unit of ownership of the Company, a membership interest in the Company issued pursuant to Section 4 and conferring upon the holder thereof all the rights and benefits as provided in this Agreement, and any and all rights and benefits to which a member of the Company is entitled under the Act to the extent not in conflict with this Agreement, together with all obligations of Members to comply with the terms and provisions of this Agreement and the Act. 32

Unit. Has the meaning set forth in the LLC Agreement, and shall include any Units (including, without limitation, the Common Units and Preferred Units) issued or issuable to, or owned by, the Unitholders on the date hereof and any other equity securities of the LLC acquired by, or issued or issuable to, the Unitholders on or after the date hereof. For purposes of this Agreement, a Person will be deemed to be an owner of Units whenever such Person has the right (other than pursuant to the terms of... this Agreement) to acquire directly or indirectly such Units (directly or upon conversion, exchange or exercise in connection with a transfer of securities or otherwise, but, unless otherwise provided in this Agreement, disregarding any restrictions or limitations upon the exercise of such right, including whether or not such right to acquire has vested or is unvested), whether or not such acquisition has actually been effected. Unit. Shall mean a "Unit'" as defined in the Operating Agreement, or such other class or kind of units, shares or other securities resulting from the application of Section 7.
